SECTION 22 RECTIFICATION OF NAME OF COMPANY

1. Subject - Rectification of name of company.

2. Passing Authority - General Meeting.

3. Nature of the Resolution - Ordinary Resolution

4. Specimen Resolution(s) -

That in accordance with the approval/directions of the Central Government, the name

of the Company be changed from "Indian Book Company Ltd." to Tamil Nadu Book

Company Ltd."

5. Guidelines

(1) The change maybe made:

a) by the Company suo moto with the previous approval of the Central Government.

b) by the Company under directions from the Central Government.

(2) The resolution will be necessary if the name, is in the opinion of the Central Government

identical with or too nearly resembles the name by which a company in existence has been

previously registered.

(3) The availability of new name should be ascertained from the Registrar of companies.

(4) The guidelines given for section 21 apply mutatas mutandis

(5) Where the Central Government directs change of name, the resolution should be passed

within 3 months of the direction.

6. Filing

A certified copy of the resolution should be furnished to the Registrar and a fresh certificate of

incorporation obtained.
