SECTION 293B CONTRIBUTION TO NATIONAL DEFENCE FUND

1. Subject - Contribution to National Defence Fund.

2. Passing Authority - Board of Directors.

3. Nature of the Resolution - Resolution with simple majority.

4. Specimen Resolution:

"That in view of the emergency facing the country, a contribution of Rs.50000/- be made by the company to the National Defence Fund."

5. Guidelines:

1) For making contributions under the section, no enabling power in terms of the Memorandum of Association is necessary.

2) The contributions maybe made to National Defence Fund or any other fund approved by the Central Government for the purpose of national defence.

3) There is no restriction on the amount of contributions.

4) It is necessary to disclose the amount of contributions in the Profit & Loss Account.
